2027 GDC Incentive Trip Rules
Program Year 2026–2027
1. Definitions and General Rules
1.1 Program. “Program” means the 2027 GDC Incentive Trip Program described in these Rules, including the qualification opportunities and Trip awards for LVA, President’s Growth Club Retreat, and Elite, together with each applicable Trip Announcement.
1.2 Rules. “Rules” means these Official Program Rules governing the 2027 GDC Incentive Trip Program (Program), including the eligibility, qualification, award, and participation requirements stated in this document. For each Trip, the applicable written Trip Announcement is incorporated into and forms part of these Rules.
1.3 Sponsor. “Sponsor” means Good Driver Mutuality, Inc. the administrator of the Good Driver Club Program, the entity responsible for administering the Program and Trip awards, with its principal business address at 510 Waverly Street, Palo Alto, CA 94301.
1.4 Affiliate. “Affiliate” means an individual or entity enrolled and in good standing under the GDC Affiliate Agreement.
1.5 Affiliate Agreement. “Affiliate Agreement” means the GDC Affiliate Agreement (and the documents incorporated therein by reference) between Sponsor and an Affiliate governing the Affiliate’s enrollment in GDC, rights, obligations, policies, compliance requirements, and relationship with Sponsor, as amended from time to time in accordance with its terms.
1.6 Trip. “Trip” means an incentive travel award offered under the Program, including LVA, President’s Growth Club Retreat, or Elite, as applicable and as described in these Rules.
1.7 Plan. A GDC plan enrollment. Except where expressly stated otherwise, every requirement in these Rules is measured in new Plans enrolled during the applicable Qualification Period. A Plan is counted only when recorded as enrolled in Sponsor’s official records and remains subject to adjustment under clause 5.2. The time of enrollment is determined in Pacific Time.
1.8 Pacific Time. “Pacific Time” means Pacific Standard Time or Pacific Daylight Time, as applicable.
1.9 Effective Date. The date on which a Plan is enrolled in the GDC program and becomes effective, as recorded in the Sponsor’s system record.
1.10 Team. All of the Affiliates enrolled under an Affiliate represent the Affiliate’s Team.
1.11 Team Plan. A new Plan enrolled by any member of the Affiliate’s team. Plans personally enrolled by the Affiliate (Personal/Direct Referred Plans) are not included in the Team Plan count.
1.12 Personal/Direct Referred Plan. A new Plan personally enrolled by the Affiliate. Personal/Direct Referred Plans are counted separately from Team Plans and are not counted in both categories.
1.13 Lifetime Title. The Affiliate’s permanent rank (L1 and above). Once achieved, a Lifetime Title is not lost. Unless a specific Trip provides otherwise, a Lifetime Title achieved before the start of the Qualification Period satisfies any requirement to hold that title.
1.14 Qualification Period. The period stated for each Trip during which qualifying activity is measured. Activity occurring outside the Qualification Period does not count toward any Plan or Trip Qualification Point requirement, except as expressly provided in clause 1.13 and clauses 3.4 and 3.5 for purposes of determining Maximum Branch Contribution. The Qualification Period is measured in Pacific Time.
1.15 Calendar Month. Monthly requirements are measured by calendar month in Pacific Time. Each qualifying month must independently satisfy the full monthly requirement; activity is not aggregated across months. Unless expressly stated otherwise, qualifying months need not be consecutive.
1.16 Branch. Each of the Affiliates enrolled immediately under an Affiliate and the Affiliates enrolled under them represents one “Branch” in the Affiliate’s Team.
1.17 Maximum Branch Contribution. The Maximum Branch Contribution limits the amount any single branch may contribute toward a requirement. The applicable percentage, and the base to which it is applied, differ by Trip as follows:
LVA — 70% of the 30 new Team Plans required in a qualifying month, being a maximum of 21 Plans from any one branch.
Elite — 70% of the 240 new Team Plans required in a qualifying month, being a maximum of 168 Plans from any one branch.
President’s Growth Club Retreat — a percentage of the Plans required for the Affiliate’s next Lifetime Title upgrade, determined by the Affiliate’s current Lifetime Title:
Lifetime Title below L4: 70%.
Lifetime Title L4 and above: 50%.
1.18 Retention requirement. In addition to the requirements stated for each Trip, an Affiliate qualifies for a Trip only if the Affiliate’s 90-day Retention Rate, measured as of the last day of the applicable Qualification Period, is 85% or more. An Affiliate's 90-day Retention Rate equals the number of Plans enrolled by that Affiliate during the applicable Qualification Period that have reached their 90^th^ day after their Effective Date and remain active and valid on that 90^th^ day, divided by the total number of Plans enrolled by that Affiliate during the applicable Qualification Period that have reached their 90^th^ day after their Effective Date, expressed as a percentage. This requirement applies to every Trip under these Rules and is assessed as part of the review described in clause 1.20. An Affiliate who satisfies all other requirements for a Trip but whose 90-day Retention Rate, measured as of the last day of the Qualification Period, is below 85% does not qualify for that Trip.
1.19 Deadlines. All deadlines stated in these Rules are inclusive of the date stated and are measured in Pacific Time. A requirement to be met “by December 31, 2026” includes qualifying activity occurring on December 31, 2026, through 11:59 p.m. Pacific Time.
1.20 Provisional results and final confirmation. Sponsor has sole authority to administer and interpret these Rules, resolve ambiguities, and determine an Affiliate’s eligibility and compliance with these Rules. Progress and standings displayed during a Qualification Period are provisional. Final eligibility for each Trip is determined only after Sponsor has completed its review of Affiliate's qualifying activity for that Trip against the published, objective performance criteria applicable to Affiliates, including the Retention Rate assessment under clause 1.18, and Sponsor’s determination following that review is final. Sponsor may disqualify an Affiliate and withhold or revoke a Trip award for fraud, manipulation, inaccurate information, misconduct, violation of these Rules, including the travel conduct requirements in clause 5.5, violation of the Affiliate Agreement, or failure to satisfy applicable legal, regulatory, or compliance requirements.
1.21 Award of the Trip. Qualification under these Rules entitles an Affiliate to the applicable Trip award offered by Sponsor, subject to these Rules and the applicable Trip Announcement. Sponsor will publish a written announcement for that Trip (each a “Trip Announcement”) before the start of the applicable Qualification Period, and the Trip Announcement will state all material terms of the Trip award, including the matters listed below. The applicable Trip Announcement is incorporated into and forms part of these Rules for that Trip. Each Trip Announcement will state, to the extent applicable:
the Trip destination, travel dates, and applicable Qualification Period;
the approximate retail value of the Trip award and the basis on which that value is calculated;
the number of Trip awards available;
the identity of the eligible Affiliate and whether, and on what terms, a guest may attend;
the transportation, lodging, itinerary, activities, meals, transfers, and other items included in the Trip award;
material exclusions, limitations, and expenses for which the Affiliate or any guest is responsible;
applicable eligibility requirements, including age, residency, passport, visa, health, travel-document, and other travel requirements;
any jurisdiction-specific eligibility restrictions, registration information, disclosures, notices, or other terms required by applicable law; and
any additional travel-provider, booking, release, conduct, or participation, cost-recovery, indemnification, or other Trip specific terms applicable to the Trip.
The Trip award is non-transferable, has no cash value, and may not be redeemed for cash or substituted by the Affiliate, except where Sponsor determines otherwise or applicable law requires. The Trip includes only the items expressly identified as included in the applicable Trip Announcement. Unless expressly included, the Affiliate and any guest are responsible for all other costs and expenses, including taxes, travel insurance, meals, incidentals, baggage fees, ground transportation, passport and visa fees, health documentation, and other travel-related expenses.
Attendance is subject to the applicable Trip Announcement and all travel terms, dates, conditions, and requirements notified by Sponsor or its travel providers. Each Affiliate and any guest are responsible for timely obtaining and maintaining all passports, visas, health documentation, and other travel documents, approvals, and permissions required for participation in the Trip.
Sponsor may substitute the Trip or any Trip component with an item of equal or greater value if, due to circumstances beyond Sponsor’s reasonable control, the advertised Trip or component becomes unavailable, impracticable, unsafe, unlawful, or commercially unreasonable. Sponsor will provide notice of any material substitution as soon as reasonably possible.
2. Trip 1 — LVA (Level 5 Arrival)
2.1 Trip details
Destination: San Francisco, Palo Alto and Sonoma
Qualification Period: July 1, 2026 to December 31, 2026 (inclusive)
Trip Dates: March 11–14, 2027
2.2 Qualification requirements
An Affiliate qualifies for LVA by satisfying, in full, either the Standard Path in clause 2.3 or the Late Enrollment Path in clause 2.4. An Affiliate need not satisfy both. In every case the retention requirement in clause 1.18 must also be met.
2.3 Standard Path
Both of the following requirements must be met:
The Affiliate achieves the Lifetime Title of L5 by December 31, 2026. A Lifetime Title of L5 achieved before the start of the Qualification Period satisfies this requirement.
At least 30 new Plans are enrolled within the Affiliate’s Team in each of at least three calendar months during the Qualification Period. The Maximum Branch Contribution applies to each such month, so that no more than 21 of the 30 required Plans may come from any one branch.
2.4 Late Enrollment Path
This Path is available only to an Affiliate who enrolls in October, November, or December 2026. Both of the following requirements must be met:
The Affiliate achieves the Lifetime Title of L5 by December 31, 2026.
With the exception of Affiliates who enroll in the month of December 2026, at least 30 new Plans are enrolled within the Affiliate’s Team in each calendar month following the calendar month in which the Affiliate enrolls and continuing through December 2026 (the calendar month of enrollment is not counted). If an Affiliate enrolls during the month of December 2026, the calendar month of enrollment is counted as it is the only month remaining in the Qualification Period. The Maximum Branch Contribution applies to each such month.
2.5 Examples
The following examples are illustrative only and do not vary these Rules.
At least 30 new Plans are enrolled within the Affiliate’s Team in October, in November and in December 2026 respectively, meets the Maximum Branch Contribution requirement in each month, and achieves the Lifetime Title of L5 in December 2026. The Affiliate qualifies under the Standard Path.
An Affiliate who already holds the Lifetime Title of L5 enrolls at least 30 new Team Plans in August, in October and in November 2026 respectively and meets the Maximum Branch Contribution requirement in each of these months. The Affiliate qualifies under the Standard Path; the three qualifying months need not be consecutive.
3. Trip 2 — President’s Growth Club Retreat
3.1 Trip details
Destination: Tulum, Mexico
Qualification Period: July 1, 2026 to December 31, 2026 (inclusive)
Trip Dates: April 12–16, 2027
3.2 Qualification requirements
Both of the following requirements must be met:
The Affiliate earns at least 75,000 Trip Qualification Points during the Qualification Period, subject to the Maximum Branch Contribution Requirement; and
The Affiliate is ranked among the top 30 Affiliates by total Trip Qualification Points when the Qualification Period ends on December 31, 2026.
The retention requirement in clause 1.18 must also be met. Satisfaction of only one of the requirements in this clause 3.2 does not qualify. An Affiliate ranked among the top 30 with fewer than 75,000 Trip Qualification Points does not qualify, and an Affiliate with 75,000 or more Trip Qualification Points who is not ranked among the top 30 does not qualify. See clause 3.4 for the definition of “Trip Qualification Points.”
Up to 30 Affiliates may qualify for the President’s Growth Club Retreat Trip award, subject to satisfaction of all eligibility and qualification requirements. If fewer than 30 Affiliates satisfy those requirements, fewer than 30 President’s Growth Club Retreat Trip awards will be awarded.
3.3 Ranking, ties and final standings
Standings displayed during the Qualification Period show the current top 30 Affiliates by total Trip Qualification Points. Such standings are provisional and change as points are earned.
Where two or more Affiliates end the Qualification Period with the same total of Trip Qualification Points, including at the 30^th^ ranking position, the Affiliate who reached that total first is ranked higher.
The final standings are confirmed following the review described in clause 1.20, and Sponsor publishes the final top 30 after that review is complete.
3.4 Trip Qualification Points
Trip Qualification Points are counted in real time against the number of Plans still required for the Affiliate’s next Lifetime Title upgrade. Within that number:
each new Team Plan earns 500 Trip Qualification Points; and
each new Personal/Direct Referred Plan earns 1,000 Trip Qualification Points.
Personal/Direct Referred Plans are counted separately from Team Plans and are not counted in both categories.
Trip Qualification Points are credited only for qualifying activity during the Qualification Period, are subject to adjustment under clause 5.2, and are included in the final standings only after all retroactive calculations and reversals have been made.
The Maximum Branch Contribution is applied to each branch’s cumulative contribution toward that upgrade, including Plans enrolled before the Qualification Period began. Accordingly:
Plans enrolled before the start of the Qualification Period earn no Trip Qualification Points, but they do count toward each branch’s Maximum Branch Contribution for the current upgrade;
a branch may therefore have little or no remaining capacity when the Qualification Period begins, and only Plans falling within that remaining capacity earn Trip Qualification Points; and
Plans enrolled in excess of a branch’s remaining capacity are suspended under clause 3.5, and are counted retroactively when the Affiliate achieves the next Lifetime Title and the Maximum Branch Contribution is recalculated against the new upgrade requirement.
Example. An Affiliate holds L4 and is progressing toward L5. On July 1, 2026, the Affiliate’s largest branch is 2 Plans below the Maximum Branch Contribution applicable to the L4-to-L5 upgrade, because of Plans that branch enrolled before the Qualification Period. Until the Affiliate achieves L5, only 2 further Plans from that branch earn Trip Qualification Points, however many Plans that branch enrolls; the remainder are suspended. Once the Affiliate achieves L5, the Maximum Branch Contribution is recalculated against the L5-to-L6 requirement and the suspended Plans are counted retroactively.
3.5 Maximum Branch Contribution and retroactive counting
The Maximum Branch Contribution for this Trip is the percentage set out in clause 1.17(c), applied to the number of Plans required for the Affiliate’s next Lifetime Title upgrade. The applicable percentage depends on the Affiliate’s current Lifetime Title and is 70% below Lifetime Title L4 and 50% at Lifetime Title L4 and above.
Once a single branch reaches the Maximum Branch Contribution applicable to the Affiliate’s current Lifetime Title, further Plans enrolled in that branch are suspended and do not earn Trip Qualification Points at that time.
Suspended Plans are counted retroactively when the Affiliate achieves the next Lifetime Title, applying the Maximum Branch Contribution of the new Lifetime Title. Suspended Plans are deferred and are not forfeited.
Retroactive counting under clause 3.5(c) may increase an Affiliate’s total Trip Qualification Points and consequently the Affiliate’s ranking under clause 3.3.
3.6 Lifetime Title upgrade bonus
An Affiliate earns the following Trip Qualification Points for each Lifetime Title achieved during the Qualification Period:
L2 — 1,000; L3 — 3,000; L4 — 8,000; L5 — 20,000; L6 — 30,000.
Where an Affiliate advances more than one Lifetime Title during the Qualification Period, the points for each Lifetime Title achieved are cumulative. By way of example, an Affiliate advancing from L1 to L4 earns 1,000 + 3,000 + 8,000 = 12,000 Trip Qualification Points.
3.7 Examples
The following examples are illustrative only and do not vary these Rules. Each example shows only how an Affiliate reaches the 75,000-point requirement in clause 3.2(a); the top 30 requirement in clause 3.2(b) must also be met.
An Affiliate who enrolls during the Qualification Period personally enrolls 63 Plans (63,000 points) and achieves L4 (1,000 + 3,000 + 8,000 = 12,000 points), for a total of 75,000 points.
An Affiliate who enrolls during the Qualification Period personally enrolls 20 Plans (20,000 points), achieves L3 (1,000 + 3,000 = 4,000 points), and has 102 Team Plans (51,000 points), for a total of 75,000 points.
An Affiliate holding L2 personally enrolls 20 Plans (20,000 points), achieves L4 (3,000 + 8,000 = 11,000 points), and has 88 new Team Plans (44,000 points), for a total of 75,000 points.
An Affiliate holding L6 has 150 new Team Plan enrollments (150 × 500), for a total of 75,000 points.
4. Trip 3 — Elite
4.1 Trip details
Destination: Greece
Qualification Period: July 1, 2026 to June 30, 2027 (inclusive)
Trip Dates: September 27 to October 2, 2027
4.2 Qualification requirements
Both of the following requirements must be met:
The Affiliate holds the Lifetime Title of L8 no later than June 30, 2027. A Lifetime Title of L8 achieved before the start of the Qualification Period satisfies this requirement.
The Affiliate enrolls at least 240 new Team Plans in each of any four calendar months during the Qualification Period. The Maximum Branch Contribution applies to each such month, so that no more than 168 of the 240 required Plans may come from any one branch.
The four qualifying months need not be consecutive, and the Lifetime Title of L8 may be achieved before, during or after the qualifying months, provided it is held by June 30, 2027. The retention requirement in clause 1.18 must also be met.
4.3 Examples
The following examples are illustrative only and do not vary these Rules.
An Affiliate who already holds the Lifetime Title of L8 enrolls at least 240 new Team Plans in September 2026, October 2026, February 2027 and March 2027. The Affiliate qualifies.
An Affiliate achieves the Lifetime Title of L8 in June 2027 and enrolls at least 240 new Team Plans in February, April, May and June 2027. The Affiliate qualifies.
5. General Provisions
5.1 Eligibility. Participation is open only to Affiliates who remain in good standing under the Affiliate Agreement throughout the applicable Qualification Period and up to the date of travel. An Affiliate is not eligible to participate in, receive, or retain a Trip award if the Affiliate’s Affiliate Agreement is terminated, suspended, or otherwise not in good standing before the date of travel, except as Sponsor determines is required by applicable law.
Participation is void where prohibited by law and is subject to all applicable laws and regulations. Affiliates must satisfy any age, residency, travel-document and other eligibility requirements notified by Sponsor. Participation is not open to employees, officers, directors, agents or representatives of Sponsor, or members of their immediate families or households. Additional jurisdiction-specific eligibility restrictions and disclosures may apply and will be stated in the applicable Trip Announcement.
5.2 Adjustment of activity. Plans that are cancelled, refunded, charged back or otherwise reversed are deducted from the counts and Trip Qualification Points in which they were included, whether the reversal occurs during or after the Qualification Period. Sponsor may correct errors in activity records, Trip Qualification Points, rankings, standings, eligibility determinations and Trip awards, and may adjust standings and eligibility accordingly, based solely on the published, objective performance criteria applicable to all Affiliates hereunder.
5.3 Amendment; Suspension; Cancellation. Subject to applicable law, Sponsor may amend these Rules or any applicable Trip Announcement, or suspend, modify, substitute, reschedule, or cancel any Trip, if Sponsor reasonably determines that the action is necessary or appropriate due to: (a) applicable law or a governmental requirement; (b) fraud, technical failure, administrative error, or other circumstances that compromise the proper administration of the Program; (c) a material safety, security, health, travel, supplier, or operational concern; or (d) circumstances beyond Sponsor’s reasonable control that make the Program or Trip unavailable, impracticable, unsafe, unlawful, or commercially unreasonable.
Any amendment will apply prospectively only and will not reduce, invalidate, or otherwise adversely affect an Affiliate’s qualification already earned under the published, objective performance criteria in effect when the qualifying activity occurred, except to the extent required by applicable law or resulting from fraud, misconduct, inaccurate information, cancellation, refund, chargeback, reversal, or correction of an administrative or calculation error. Sponsor will provide notice of any material amendment, suspension, modification, substitution, rescheduling, or cancellation to affected Affiliates as soon as reasonably practicable.
5.4 Taxes. The fair market value of a Trip award may constitute taxable income or compensation to the Affiliate. Each Affiliate is solely responsible for all federal, state, local and other taxes arising from the receipt or use of a Trip award, except to the extent Sponsor is required by law to withhold or remit amounts. As a condition of receiving or participating in a Trip award, Sponsor may require an Affiliate to provide tax information and documentation, including completed tax forms. Sponsor may report the fair market value of a Trip award on any applicable tax form and make any tax reports and withhold any amounts required by applicable law.
5.5 Travel Conduct; Sponsor Remedies. Each Affiliate and guest must comply with these Rules, the applicable Trip Announcement, all reasonable instructions of Sponsor and its travel providers, all applicable laws, regulations, and governmental requirements, and all applicable rules of airlines, hotels, transportation providers, venues, activity providers, and other Trip suppliers/providers.
An Affiliate or guest must not engage in conduct that is unlawful, fraudulent, dishonest, abusive, harassing, discriminatory, threatening, violent, reckless, unsafe, disruptive, or otherwise inappropriate. Prohibited conduct includes:
possession, use, sale, distribution, or transfer of illegal drugs or controlled substances, except for medication lawfully prescribed to the participant and used in accordance with a prescription;
underage consumption of alcohol, excessive intoxication, or alcohol-related conduct that creates or reasonably may create a safety, security, operational, or reputational concern;
conduct that endangers or reasonably may endanger the health, safety, security, property, rights, or enjoyment of Sponsor, its personnel, travel providers, other participants, or members of the public;
theft, fraud, misrepresentation, vandalism, property damage, or misuse of any Trip-related benefit, accommodation, transportation, venue, activity, or property;
harassment, discrimination, retaliation, intimidation, sexual harassment, sexual misconduct, or other abusive or offensive conduct;
refusal to comply with reasonable safety, security, health, travel, or operational instructions issued by Sponsor or a travel provider; or
conduct that exposes or reasonably may expose Sponsor, its affiliates, personnel, travel providers, or other participants to legal liability, regulatory action, material operational disruption, or material reputational harm.
Sponsor may investigate suspected misconduct and may take any action Sponsor reasonably determines is necessary or appropriate to protect safety, security, legal compliance, Trip operations, or Sponsor’s legitimate business interests. Without limiting the foregoing, Sponsor may issue a warning; impose conditions on continued participation; restrict participation in an activity; deny boarding, lodging, transportation, or access to an event; require an Affiliate or guest to leave an activity, accommodation, or Trip; arrange or require early return travel; disqualify the Affiliate from the Trip; revoke an untraveled Trip award; and deny reimbursement, cash substitution, replacement travel, or other compensation.
Sponsor may act immediately, without prior notice, where Sponsor reasonably believes that an Affiliate’s or guest’s conduct presents an actual or potential safety, security, legal, compliance, or material reputational concern. Sponsor’s exercise or non-exercise of any remedy does not limit any other right or remedy available to Sponsor under these Rules, the Affiliate Agreement, applicable law, or any required Trip documentation.
5.6 Affiliate Responsibility for Guests; Costs. An Affiliate who elects to bring a guest is responsible for ensuring that the guest receives, understands, and complies with these Rules, the applicable Trip Announcement, all required releases and participation documentation, and all applicable travel-provider requirements.
The Affiliate is responsible for all costs, charges, losses, and expenses arising from or relating to the guest’s participation in the Trip, including costs resulting from the guest’s failure to meet eligibility, documentation, travel, health, conduct, or other participation requirements. This includes reasonable costs incurred by Sponsor or a travel provider in connection with property damage, additional lodging, transportation, security, cancellation, rebooking, early departure, or other measures reasonably required because of the guest’s conduct.
If a guest is denied participation, removed from the Trip, or otherwise fails to satisfy applicable requirements, Sponsor may permit the Affiliate to participate without that guest, subject to the applicable Trip Announcement and Sponsor’s reasonable operational requirements. Neither the Affiliate nor the guest will be entitled to cash, reimbursement, substitution, or other compensation for any unused portion of the Trip award, except where required by applicable law.
5.7 Indemnification. To the fullest extent permitted by applicable law, each Affiliate and guest will defend, indemnify, and hold harmless Sponsor, its affiliates, and each of their respective officers, directors, employees, agents, contractors, travel providers, successors, and assigns from and against any third-party claim, demand, action, proceeding, loss, liability, damage, penalty, fine, cost, or expense, including reasonable attorneys’ fees and costs, arising out of or relating to:
that person’s breach of these Rules, the applicable Trip Announcement, required Trip documentation, travel-provider requirements, or applicable law;
that person’s fraud, misrepresentation, unlawful conduct, misconduct, negligence, recklessness, or willful act or omission;
bodily injury, death, property damage, or other harm caused by that person; or
an Affiliate’s guest, including the guest’s conduct, acts, omissions, breach of applicable requirements, or participation in the Trip.
An Affiliate’s obligations under this clause include claims, losses, liabilities, damages, and expenses arising from or relating to the conduct of the Affiliate’s guest. This clause does not require an Affiliate or guest to indemnify any person to the extent that a claim, loss, liability, damage, or expense is caused by Sponsor’s negligence, gross negligence, willful misconduct, or other conduct for which indemnification may not lawfully be required.
5.8 Travel Release; Required Documentation. Each Affiliate, and each guest where applicable, must execute and return, by the deadline specified by Sponsor, any travel release, liability waiver, assumption-of-risk acknowledgment, medical or health acknowledgment, emergency-contact information, publicity release, travel-provider agreement, code of conduct acknowledgement, and other participation documentation reasonably required by Sponsor or its travel providers as a condition of participating in a Trip.
Each Affiliate and guest participating in a Trip must separately execute and return the Travel Release, Waiver, and Assumption of Risk required by Sponsor. Each participant acknowledges that travel and Trip activities may involve inherent and other risks, including illness, injury, accident, property loss, and death, and agrees to comply with all reasonable safety, health, security, and travel instructions issued by Sponsor or its travel providers.
Failure to timely execute or provide required documentation may result in forfeiture of the Trip award or the affected person’s participation, without cash substitution or other compensation, except where required by applicable law. Sponsor may permit an eligible Affiliate to attend without a guest where a guest fails to satisfy applicable requirements, subject to the applicable Trip Announcement.
To the extent permitted by applicable law, each Affiliate and guest releases Sponsor and its affiliates, officers, directors, employees, agents, contractors, and travel providers from claims arising out of or relating to that person’s participation in a Trip, travel in connection with a Trip, or use of a Trip award, except for claims that cannot lawfully be waived, including claims arising from Sponsor’s gross negligence or willful misconduct to the extent such claims may not be waived under applicable law.
5.9 Governing Law; Disputes Resolution. These Rules are governed by the laws specified in the Affiliate Agreement, without regard to conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Rules, the Program, qualification or eligibility for a Trip, a Trip award, travel in connection with a Trip, or Sponsor’s administration of the Program will be resolved exclusively in accordance with the dispute-resolution, governing-law, venue, arbitration, and class-action waiver provisions of the Affiliate Agreement. Those provisions are incorporated into these Rules by reference.
To the extent there is any conflict between these Rules and the Affiliate Agreement concerning dispute resolution, governing law, venue, arbitration, or the ability to bring or participate in a class, collective, consolidated, representative, or similar proceeding, the Affiliate Agreement controls.
For purposes of this Section, the applicable Affiliate Agreement is the version in effect between Sponsor and the Affiliate when the dispute arises, unless the Affiliate Agreement provides otherwise.
5.10 Nature of Program. The Program is a skill-based sales incentive contest. No purchase, payment or other consideration is required to participate in the Program or to qualify for or receive a Trip award. Qualification and Trip awards are determined solely by an Affiliate's satisfaction of the published, objective performance criteria in these Rules, including applicable Plan enrollment activity, Lifetime Title, Trip Qualification Points, ranking and Retention Rate requirements, as applicable, and the review described in clause 1.20. Chance plays no role in determining qualification, ranking, eligibility or receipt of a Trip award.
