Affiliate and Referral Program Regular Plan

Note: All capitalized terms used in this Affiliate & Referral Program (including in the recitals) or in any notice given under or in connection with this Affiliate & Referral Program have the same meaning as those defined in Good Driver Club Program (“GDC Program”) Terms and Conditions unless expressly defined otherwise in this Affiliate & Referral Program.

Status and Important Concepts

To start promoting, an individual or a Business Entity (corporation, limited liability company, partnership, or trust) needs to first become a Referrer. To become a Referrer, an individual must first successfully pass an identity verification with a valid driver's license and then obtain invitation capability.

Invitation capability can be obtained through one of the following two methods:

  1. Joining or renewing a Plan, or

  2. Using an invitation card to participate and pass the Invitation Capability Quiz. An invitation card may only be received from an Affiliate as discussed below.

Once invitation capability is obtained, an individual or Business Entity can apply to become a Referrer and refer others to join the Plan and become a Promoter. A Promoter may either hold the status of a Referrer or an Affiliate.

Promoter: An individual or Business Entity who holds valid invitation capability. Promoters are categorized by two statuses: Referrer and Affiliate.

Referrer Status: All Promoters start from being a Referrer. Referrer Status confers the eligibility to refer potential Members to enroll in the Plan and to earn direct referral Commissions and Points. A Referrer is required to sign Referrer Program Terms and Conditions.

Affiliate Status: An advanced status applied by a Referrer by signing Affiliate Application and Agreement and meets the upgrade criteria for the L1 Affiliate level. A Referrer can choose not to apply to become an Affiliate even if he/she is qualified for applying. An Affiliate is eligible to earn all Referral Rewards and, in addition, is eligible for a broader range of commissions and benefits associated with the Affiliate hierarchy (L1-L9).

Inviter: A Promoter who has directly referred a Plan to a Member and this Member may become Promoter or remain a non-promoter member later on.

Team: A group consisting of a Promoter and all subsequent Promoters and Members in that Promoter's downline, including both direct and indirect referrals,

Member: A user who joined the GDC Program and whose Plan is still within the Effective Period.

Points: A successful payment of the service fee for a Plan to Good Driver Mutuality Inc. will generate 500 points per plan, regardless of the quote amount. For example, whether the quote amount is $400 or $600, 500 points will be generated.

Points are distributed to the direct inviter and eligible Affiliates along the invitation relationship chain according to the Points rules (detailed in Section 4). Points are crucial for advancing to higher levels in the Affiliate hierarchy. The accumulation of Points directly influences an Affiliate's ability to upgrade their level, unlocking more potential benefits and deep participation in GDC Program.

Direct Points: Points generated from directly inviting others to join the Plan.

Indirect Points: Points generated by a Promoter’s downline Promoters by inviting others to join the Plan and contributed to that Promoter.

Rewards: Rewards, often in the form of commissions, are financial incentives given to Promoters based on their status, the Quote Amount of direct and indirect referrals, and their position within the invitation relationship chain.

Both Points and Rewards are designed to motivate Promoters to actively participate in and contribute to the expansion of the Good Driver Club community. Points facilitate the progression through different levels, which in turn can increase the potential for earning more Rewards.

While Points are used as a metric for growth and level advancement within the Affiliate hierarchy, Rewards are direct financial benefits derived from successful referrals and other qualifying activities. Points affect long-term status within the Affiliate and Referral Program, whereas Rewards provide immediate financial returns.

Direct Downline: A Promoter (Referrer or Affiliate) who has been directly sponsored/enrolled by a Promoter.

Branch: Each Direct Downline, together with that Direct Downline's entire subsequent downline organization, constitutes a single and distinct Branch.

Quote Amount is the amount shown in a Quote on the App. The Quote Amount equals the sum of the Pledge Amount and the service fee payable to the Administrator. Pledge Amount means the maximum sharing amount that a Member is committed to share during one Effective Period of the Plan so he/she can fulfill the sharing commitment according to the GDC Program Terms and Conditions.

Churn Rate: Refers to the ratio of Plans that have accumulated points for a Referrer or Affiliate but are withdrawn within 90 days of becoming effective or before becoming effective, to the total number of Plans that have accumulated points for the particular Referrer or Affiliate until the assessment date. This rate is an indicator of the quality of members. The higher churn rate means lower commitment of members to the GDC Program.

Churn Rate = (Number of Plans that have accumulated points for someone but are withdrawn within 90 days of becoming effective or before becoming effective) / (Total number of Plans that have accumulated points for the particular Referrer or Affiliate until the assessment date*) × 100%*

Retention Rate: Equals to 1-Churn Rate, GDC Program uses this rate to determine the qualification of an Affiliate or Referrer.

Long-term Retention Rate: Refers to the percentage of all autos that have ever been enrolled in a Plan by a Team that still maintains an active and valid status at the time of assessment. The formula of computing Long-term Retention Rate is as follows:

Long-term Retention Rate = (Number of autos maintaining a valid Plan associated with the Team at the time of assessment / Total number of autos that have ever been enrolled in a Plan by the team) * 100%

System: Means the software systems, databases, applications, and automated calculation mechanisms operated by Good Driver Mutuality Inc. in connection with the GDC Program.

1.1 Referrer Status

1.1.1 Becoming a Referrer

To become a Referrer, you must first obtain the invitation capability and successfully refer the first Plan to a Member.

1.1.2 Validity Period of Invitation Capability and Referrer Status

To continue earning rewards by inviting others to join, you must maintain the validity of your invitation capability according to these rules:

  1. Obtaining Invitation Capability for the First Time:

    1. Joining a Plan; or

    2. Use an Invitation Card to Take and Pass the Invitation Capability Quiz.

      Each Affiliate receives one (1) invitation card upon upgrading to L1 and each subsequent upgrade will replenish the remaining number of invitation cards to one (1) if the previously issued invitation card is used. These cards can be given to a person to enable him/her become a Promoter and thus become his/her direct downline.

      If a direct downline, who becomes a Promoter by using someone’s invitation card, upgrades to L1, the Affiliate who has already given out the invitation card he/she kept will obtain a new invitation card if such Affiliate does not maintain any invitation card at hand.

      Invitation Capability Quiz represents a mechanism through which an individual or Business Entity may obtain the Referrer Status without the need to join the Plan. Participation in the quiz is contingent upon the possession of an Invitation Card which is received from a qualified Affiliate. For a Business Entity, the chief executive officer or equivalent must take the quiz.

  2. Rules for Maintaining Invitation Capability

    1. For individuals and Business Entities who are not Affiliates (before upgrading to L1):

      If one's Invitation Capability is obtained through joining a Plan, it remains valid as long as such Member maintains a valid Plan, with no requirement to invite direct downlines.

      However, if Invitation Capability is obtained through an Invitation Card, such Invitation Capability is valid only for 30 days unless one advances to L1 within 30 days of receiving invitation capability.

    2. For individuals and Business Entities who are Affiliates (L1 and above):

      Maintaining the Affiliate level is sufficient to keep the Invitation Capability valid.

      If someone loses invitation capability, it can be regained either by joining the Plan or by accepting and activating a new Invitation Card.

  3. Restrictions if Invitation Capability is Lost

    1. You cannot directly refer others to join the GDC program, and you will not receive new Rewards or Points during the period when the invitation capability is invalid.

    2. If the invitation capability becomes invalid, the Referrer status also becomes invalid.

  4. Permanent Invalidity: The invitation capability and Referrer status will become permanently invalid and cannot be restored under any of the following circumstances:

    1. Voluntarily applying to withdraw or give up the invitation capability and Referrer status;

    2. If the Team has 15 or more Plans withdrawn within 90 days of becoming effective and the Team’s Retention Rate is less than 75%, the Promoter will be given a one-time opportunity to rectify the issue. To apply for this opportunity, the Promoter must reply to the warning email sent by GDC within three (3) days. Upon submitting the application, the Promoter will be granted a 3-month Rectification Period to restore their Team's Retention Rate to 75% or above. If the Promoter fails to achieve this by the end of the Rectification Period, or fails to reply to the initial email within the 3-day window, GDC Program will permanently revoke their invitation capability and Referrer & Affiliate status, which cannot be reapplied for.

    3. Violation of relevant regulations in the Good Driver Club Program Statement of Policy and Procedures.

1.2 Affiliate Status

1.2.1 Obtaining Affiliate Status

Affiliate Status, granting eligibility for various types of commissions, is obtained after meeting the L1 Affiliate Level upgrading criteria and signing Affiliate Application & Agreements. To qualify, an Affiliate must:

  1. Meet all L1 Affiliate upgrade criteria as defined in this Program.

  2. Apply to be an Affiliate by signing Affiliate Application & Agreement and the agreements incorporated therein.

  3. Pay an initial $9.90 Affiliate enrollment fee. This fee is subject to automatic annual renewal to maintain a valid Affiliate Status, as detailed in Section 1.2.2 below.

In addition to being eligible to refer Members and earn direct referral commissions and Points, as compared to a Referrer, an Affiliate can continue to be eligible to earn commissions or bonuses in addition to those described in this document and the valid temporary promotional plans.

1.2.2 Validity Period of Affiliate Status

The validity of an Affiliate's Status is contingent upon their ongoing compliance with several key requirements, including the payment of an annual renewal fee, maintaining invitation capability and Referrer Status, remaining active, passing periodic assessments, and adhering to GDC Program policies. The specific conditions are detailed below:

  1. Affiliate Annual Renewal Fee

    To maintain a valid Affiliate Status, an annual renewal fee of $9.90 is required.

    1. Due Date: This fee is due each year on the anniversary of the date the Affiliate first achieved L1 status. The $9.90 annual affiliate fee will be charged automatically to the Affiliate's designated payment instrument on file to ensure uninterrupted access to the Affiliate back-office and continuous eligibility for rewards.

    2. Consequences of Non-Payment: If the automatic charge fails, or Affiliate raised any objection to the automatic charging, the failure to pay the annual renewal fee by the Due Date and 15-days beyond such Due Date will result in the Affiliate Status becoming invalid. After invalidity, the Affiliate will be ineligible to earn new Rewards or Points.

    3. Termination: If the Affiliate fails to pay annual renewal fee within 15-days after the Due Date, his/her Affiliate Agreement and independent business will be automatically terminated.

    4. Restoration and Impact: The Affiliate Status can be restored by paying the outstanding annual renewal fee. Upon successful restoration, the Affiliate will retain their Inviter, Team, historical Points, and historical Rewards. However, the Affiliate will not receive any retroactive Rewards or Points for the period during which their status was Inactive. Moving forward, the Affiliate will regain eligibility to earn new Rewards and Points.

  2. Invitation Capability

    If the invitation capability becomes invalid, the Affiliate status will also become invalid. Affiliates will not receive new Rewards or Points during the period when the invitation capability is invalid. When the invitation capability is restored, and no other conditions for invalidation exist, the Affiliate status will also be restored, and Affiliates can start to receive rewards and points.

  3. Staying Active Requirement

    To maintain a valid Affiliate Status, an Affiliate must demonstrate ongoing participation. If an Affiliate fails to generate any Affiliate income (Rewards) for a consecutive six (6) months, their Affiliate Status and independent business will be automatically terminated.

    Restoration and Impact: This terminated status is recoverable. Upon successful restoration, the Affiliate will retain their Inviter, Team, and historical Rewards. However, as a consequence of the termination, all accumulated Points and Rank Progress will be permanently cleared to zero. Additionally, the Affiliate will not receive any retroactive Rewards or Points for the period during which their status was Inactive. Moving forward, they will regain eligibility to earn new Rewards and Points starting from zero.

  4. Periodic Assessments

    Affiliates are required to pass periodic assessments to maintain their Affiliate status. There are two periodic assessments after obtaining Affiliate status (refers to upgrading to L1). The first assessment takes place after one year of becoming an L1 Affiliate, and the second takes place two years after becoming an L1 Affiliate. These assessments evaluate the Long-term Retention Rate of Plans within the Affiliate's team to ensure member quality and stability.

    1. First Periodic Assessment: To pass the first assessment, one of the following three conditions must be met; otherwise, the assessment is failed:

      1. The Long-term Retention Rate of all Plans directly referred by the Affiliate must be at least 70% at the time of assessment.

      2. The Long-term Retention Rate of all Plans directly referred by the Affiliate’s direct downlines must be at least 70% at the time of assessment.

      3. The Long-term Retention Rate of all Plans accumulated by the team must be at least 70% at the time of assessment.

    2. Second Periodic Assessment: To pass the second assessment, one of the following three conditions must be met; otherwise, the assessment is failed:

      1. The Long-term Retention Rate of all Plans directly referred by the Affiliate must be at least 60% at the time of assessment.

      2. The Long-term Retention Rate of all Plans directly referred by the Affiliate’s direct downlines must be at least 60% at the time of assessment.

      3. The Long-term Retention Rate of all Plans accumulated by the team must be at least 60% at the time of assessment.

      4. Failure of either periodic assessments will result in the permanent revocation of the Affiliate’s status and level. However, if an Affiliate fails the retention rate assessment, they will be given a one-time opportunity to rectify the failure. To apply for this opportunity, the Affiliate must reply to the assessment result email sent by GDC within three (3) days. Upon submitting the application, the Affiliate will be granted a 3-month Rectification Period. If the Affiliate fails to pass the assessment by the end of this Rectification Period, or fails to reply to the initial email within the 3-day window, the Affiliate status will be permanently revoked and cannot be reapplied for.

  5. Permanent Revocation

    The Affiliate Status will become permanently invalid and cannot be restored under any of the following circumstances:

    1. Voluntarily applying to withdraw or give up the Affiliate status;

    2. Failing the Affiliate's Periodic Assessments set out in Section 1.2.2(d) above (and failing to pass by the end of the granted Rectification Period, if applicable) will result in the permanent revocation of the Affiliate’s Status and Lifetime Title set out in Section 3.1.

    3. If the Team has 15 or more Plans withdrawn within 90 days of becoming effective and the Team’s Retention Rate is less than 75%, the Promoter will be given a one-time opportunity to rectify the issue. To apply for this opportunity, the Promoter must reply to the warning email sent by GDC within three (3) days. Upon submitting the application, the Promoter will be granted a 3-month Rectification Period to restore their Team's Retention Rate to 75% or above. If the Promoter fails to achieve this by the end of the Rectification Period, or fails to reply to the initial email within the 3-day window, GDC Program will permanently revoke their invitation capability and Referrer & Affiliate status, which cannot be reapplied for.

    4. Violation of relevant regulations in Good Driver Club Program Statement of Policies and Procedures.

Invitation Relationships

2.1 Establishment and Locking of Invitation Relationships

After obtaining the Referrer Status, one can use an invitation link or invitation code to invite others to join the Plan.

Invitation relationships are either temporary or locked, starting from the user registration on the App, establishing a temporary invitation relationship (changeable), to ultimately determining a long-term locked invitation relationship (unchangeable) without time limit.

The following scenarios determine whether the invitation relationship is subject to change:

  1. Invitee visited an invitation link: does not change the invitation relationship;

  2. Invitee registered on the App as a user via an invitation link: establish a temporary invitation relationship with the inviter and such temporary invitation relationship can be changed by inputting another particular referral code assigned to each Promoter;

  3. When the invitee accepts the Quote Amount obtained by the inviter on his/her behalf: a temporary invitation relationship will be established.

  4. The invitee enters the invitation code on the quote page of the App: triggers the update of inviter if needed, if the current invitee has not established a locked invitation relationship with someone else, the temporary invitation relationship can be changed;

  5. The invitee initiates payment (payment in process): this action will change the previously established temporary invitation relationship to a long-term locked invitation relationship. From then on, the relationship between this invitee and the inviter will no longer be changed;

  6. The invitee uses the inviter's Invitation Card: if the invitee does not have a locked invitation relationship with someone else at the time of using the Invitation Card, a long-term locked invitation relationship will be established with the owner of the invitation card; if the invitee already has a locked invitation relationship with someone else at the time of using the Invitation Card, the locked invitation relationship that already exists will not be changed when using the invitation card.

2.2 Invitation Relationship Chain

Since enrolling in a Plan must be done through someone else's invitation, every new Plan that successfully enrolled is based on a long-term locked invitation relationship between an inviter and an invitee. These long-term locked invitation relationships jointly form invitation relationship chains.

Long-term locked invitation relationships will not change, so the invitation relationship chain is stable. Further, the upgrade rules, Reward calculation and distribution rules, and Points distribution rules in the Affiliate & Referral Program all depend on the invitation relationship chain.

2.3 No Roll-up Policy

Notwithstanding anything to the contrary in Section 2.2 or elsewhere in this Program, effective as of May 1, 2026, the structural position of Promoters within a Team becomes permanently fixed. If a Promoter loses their active status, is downgraded, resigns, or has their account terminated for any reason (including but not limited to those listed in Section 2.2), their Downlines will remain in its original generational position. Downline Promoters and Members will NOT "roll up" or be transferred closer to the Upline Affiliate. Team volume (Points) will continue to flow upline to the next eligible active Affiliate, but the generational structure and physical placement within the Affiliate structure tree remains strictly unchanged.

Affiliate Levels and Upgrade Rules

There is a level system for Affiliates, and the level of an Affiliate is the most important factor (but not the only factor) in deciding how much Rewards an Affiliate can possibly earn.

3.1 Level Category and Definition

Affiliate Level: This refers to the level of this Affiliate himself/herself. It is a personal title and follows the upgrade rules in Section 3.2

Team Level: The highest Affiliate Level (L1-L9) attained by any Promoter within that Promoter's Team.

Effective as of May 1, 2026: The following definitions are introduced to govern commission calculations and status maintenance:

Lifetime Title: Cumulative Plans (upgrade points) determine an Affiliate’s Lifetime Title. A Lifetime Title represents the highest Affiliate Level an individual or Business Entity has ever achieved and will not change over time unless the Affiliate's status is terminated.

Paid-As Title: refers to the title basis that the Promoter’s commissions will be calculated and paid. The Promoter will be paid based on the Paid-As Title they obtained according to the rules set out in Section 3.3. An Affiliate’s Paid-As Title cannot exceed their Lifetime Title and may be lower, depending on whether they meet the applicable monthly Team Plan Enrollment Requirement.

3.2 Level Settings and Upgrade Rules

As everyone always starts as Referrer, we have set the following Upgrade Rules:

  1. Referrer: The default level after obtaining the Referrer status, where every Promoter starts;

    To become Referrer: Join a Plan or use an Invitation Card to participate and pass the Invitation Capability Quiz, agree to the Referrer Program Terms and Conditions and refer at least one potential member to enroll in the Plan.

  2. L1: The first level after achieving the Affiliate status, also the first level of Affiliate Level. To upgrade to this level, the following four criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Pay a $9.90 Affiliate enrollment fee, and,

    3. Apply to become an Affiliate by signing Affiliate Application & Agreement and the incorporated agreements therein, and

    4. Review learning material and pass the online Affiliate Quiz.

  3. L2: The second level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 10,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 70%.

  4. L3: The third level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 25,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 70%.

  5. L4: The fourth level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 62,500 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 70%.

  6. L5: The fifth level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 150,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 50%.

  7. L6: The sixth level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 375,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 50%.

  8. L7: The seventh level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 900,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 50%.

  9. L8: The eighth level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 2,250,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 50%.

  10. L9: The ninth level of the Affiliate Level. To upgrade to this level, the following three criteria must be met simultaneously:

    1. There are 5 valid directly referred Plans, which include both effective and pending effective Plans, and

    2. Accumulate greater than or equal to 6,000,000 Points, including Direct Points and Indirect Points, and

    3. The proportion of Points contributed by a single Branch does not exceed 50%.

The above L1-L9 levels are upgraded sequentially.

3.3 Paid-As Title Maintenance Requirements

  1. Directly Referred Plan Requirement for Affiliate Eligibility:

    1. An Affiliate must complete at least one (1) new direct referral within any rolling two-calendar-month period to remain Active for the immediately following calendar month. Specifically, during the monthly evaluation on the 7th day of any given month, the System will determine the Affiliate's Active status for that month based on whether they completed at least one new direct referral during the two (2) full calendar months immediately preceding the evaluation date.

    2. After qualifying for L1, an Affiliate who completes eight (8) new direct referrals within any rolling twelve-calendar-month period will be deemed to have satisfied the direct referral requirement set out in 3.3(a)(i). Specifically, during the monthly evaluation on the 7th day of any given month, if the system determines the Affiliate has completed at least eight (8) new direct referrals during the twelve (12) full calendar months immediately preceding the evaluation date, the Affiliate shall remain Active for that month. The five (5) direct referrals required to qualify for L1 are excluded from the eight (8) direct referrals mentioned above.

    3. The "Active 20" Exemption: As long as an Affiliate maintains a minimum of twenty (20) active and effective direct referred Mutuality Plans, they shall be entirely exempt from the standard requirements set out in 3.3 (a)(i) and (ii) above.

    4. Exemption Buffer Period: If an Affiliate’s total active direct referred Mutuality Plans drop below twenty (20), an Exemption Buffer Period will be automatically triggered. This Buffer Period covers the remainder of the calendar month in which the drop occurred, plus the entirety of the following calendar month. During this period, the Affiliate retains their "Active 20" Exemption.

    5. Status Re-evaluation and Soft Landing: On the 7th day of the second calendar month following the date on which the Affiliate’s active direct Mutuality Plans first fell below twenty (20), a re-evaluation will occur:

      1. If the Affiliate restores at least twenty (20) active and fully effective direct referred Mutuality Plans, the exemption shall continue.

      2. If not restored, the exemption is removed. The Affiliate will then immediately be subject to the standard requirement set out in 3.3 (a)(i), meaning the system will evaluate if the Affiliate has completed at least one (1) new direct referral within the rolling two-calendar-month period immediately preceding the evaluation date (which encompasses the Exemption Buffer Period)

    6. Anti-Abuse and Cool-Down Mechanism: If an Affiliate’s valid direct referred Mutuality Plans drop below 20, and the Affiliate has already utilized an Exemption Buffer Period at any time during the preceding two (2) calendar months, no new Buffer Period will be granted. The exemption will be revoked immediately, and the standard active requirement evaluation will apply on the 7th day of the current or immediately following month.

    7. If an Affiliate fails to satisfy either of the standards set out in 3.3 (a)(i) or (ii) above, the Affiliate will become Inactive effective the following month. During the Inactive period, the Affiliate’s Paid-As Title will be canceled, and the Affiliate will not be eligible for any commissions, bonus, upgrade points or other rewards, which they might receive as an Affiliate. (But he/she can still receive direct referral rewards as a Referrer).

    8. Upon completing 1 new direct referral, the Affiliate can be restored to Active status. The Paid-As Title of the Affiliate applicable for the remainder of the reactivation month will be determined based on the prior month’s team performance.

    9. After reactivation of the Affiliate Status, the 2-calendar-month direct referral requirement will apply again immediately. However, the direct referral used for reactivation will not count toward the direct referral requirement for the reactivation month or the following month, although it may count toward the rolling 12-month total of 8 direct referrals.

  2. (b) Team Plan Requirement for Paid-As Title:

    To maintain a Paid-As Title equivalent to their Lifetime Title, an Affiliate must meet the monthly team Plan enrollment requirements. If an Affiliate at any level does not meet the applicable team Plan enrollment requirement, his/her Paid-As Title for the new month will be adjusted to the equivalent level their actual Plan performance qualifies them for. Paid-As Title will be reviewed on the 7th of each month based on the previous calendar month’s team performance.

    Grace Period for New Paid-As Titles: Upon successfully advancing to a higher Lifetime Title (Affiliate Level), an Affiliate will keep their newly earned Paid-As Title for the calendar month in which they earn it, as well as for the next two (2) subsequent calendar months. During this grace period, the Affiliate will be exempt from the Team Mutuality Plan Requirements to maintain that specific Paid-As Title. (Note: The Affiliate must continuously meet the Directly Referred Mutuality Plan Requirement in Section 3.3(a) to remain Active and receive rewards during this period).

The specific Team Performance Requirements for Paid-As Title every calendar month are as follows:

L1: No team Plan required

L2: 3 team Plans

L3: 6 team Plans

L4: 15 team Plans

L5: 30 team Plans

L6: 60 team Plans

L7: 120 team Plans

L8: 240 team Plans

L9: 480 team Plans

Maximum Contribution (70% Rule): For the purpose of calculating the Team Plans Requirement for Paid-As Title, the maximum contribution recognized from any one Branch is 70% of the required team sales.

Points Rules

Points are used to reflect the contribution of each position in the invitation relationship resulting from a new enrollment of a Plan; as mentioned earlier, Points are also one of the criteria required for level upgrading.

4.1 Points Calculation Rules

Points are generated when an auto enrolls a Plan for the first time (indicated by the successful payment of the service fee to Good Driver Mutuality Inc.). Renewal of Plan will not generate Points. However, an auto that has previously enrolled and subsequently withdrawn may generate Direct Points upon re-enrollment, strictly subject to the Returning Auto conditions detailed in Section 5.1.2.

4.2 Points Distribution Rules

Points can be distributed along the invitation relationship chain, until the points reach the first person at L9 level. However, to continue recognizing the ongoing mentorship and team-building efforts of our top leaders, after an Affiliate achieves the L9 Lifetime Title, their upgrade points will continue to be distributed upward for a period of two (2) additional years from the date of their L9 achievement, rather than stopping immediately. After this two-year extension period, points will no longer be distributed upward from that L9 Affiliate.

4.3 Points Reclaim Rules

After the distribution of Points is completed, if the corresponding Plan that generated those Points withdraws within 90 days after effectiveness, it will trigger the reclaim of Points; the reclaim rule is to deduct the corresponding amount of Points from the accumulated Points of the Referrers and Affiliates who obtained those Points initially.

Reward Rules

Rewards refer to commissions. Depending on one's status and level, the eligible Rewards vary, and this Section 5 will explain Rewards in detail. Currently, this Affiliate & Referral Program Regular Plan includes the following Rewards:

5.1 Reward Settings

5.1.1 Multi-level Referral Rewards

  1. Referral Reward Eligibility: Applicable to all Promoters, including Referrer and Affiliate.

    Acquisition condition: Directly invite others to successfully join a Plan, and the auto enrolled is joining GDC Program for the first time (or satisfies the Returning Auto re-enrollment criteria set forth in Section 5.1.2), the inviter receives a Referral Reward.

    Reward amount: 10% × the Quote Amount of the new Plan.

  2. L1 Reward Eligibility: Applicable to Affiliates with Affiliate Level L1 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L1 or higher-level Affiliate to the Inviter of the Plan receives the "L1 Reward."

    Reward amount: 8% × the Quote Amount of the new Plan.

  3. L2 Reward Eligibility: Applicable to Affiliates with Affiliate Level L2 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L2 or higher-level Affiliate to the L1 Reward recipient receives the "L2 Reward."

    Reward amount: 5% × the Quote Amount of the new Plan.

  4. L3 Reward Eligibility: Applicable to Affiliates with Affiliate Level L3 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L3 or higher-level Affiliate to the L2 Reward recipient receives the "L3 Reward."

    Reward amount: 3% × the Quote Amount of the new Plan.

  5. L4 Reward Eligibility: Applicable to Affiliates with Affiliate Level L4 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L4 or higher-level Affiliate to the L3 Reward recipient receives the "L4 Reward."

    Reward amount: 2% × the Quote Amount of the new Plan.

  6. L5 Reward Eligibility: Applicable to Affiliates with Affiliate Level L5 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L5 or higher-level Affiliate to the L4 Reward recipient receives the "L5 Reward."

    Reward amount: 1.5% × the Quote Amount of the new Plan.

  7. L6 Reward Eligibility: Applicable to Affiliates with Affiliate Level L6 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L6 or higher-level Affiliate of the L5 Reward recipient receives the "L6 Reward."

    Reward amount: 1.5% × the Quote Amount of the new Plan.

  8. L7 Reward Eligibility: Applicable to Affiliates with Affiliate Level L7 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L7 or higher-level Affiliate of the L6 Reward recipient receives the "L7 Reward."

    Reward amount: 1.5% × the Quote Amount of the new Plan.

  9. L8 Reward Eligibility: Applicable to Affiliates with Affiliate Level L8 and above.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L8 or higher-level Affiliate of the L7 Reward recipient receives the "L8 Reward."

    Reward amount: 1.5% × the Quote Amount of the new Plan.

  10. L9 Reward Eligibility: Applicable to Affiliates with Affiliate Level L9.

    Acquisition condition: Continue to search up the invitation relationship chain, the nearest L9 Affiliate of the L8 Reward recipient receives the "L9 Reward."

    Reward amount: 1% × the Quote Amount of the new Plan.

In the case of Rewards generated from the same Plan, a Referrer or Affiliate can only receive one of the above Rewards at most.

5.1.2 Returning Auto Rewards and Points

For an auto that has previously enrolled in a Plan, subsequent re-enrollment may trigger a Direct Referral Reward and Direct Points, even if a Referral Reward has already been issued for that auto, provided that the conditions set forth in this Section 5.1.2 are satisfied.

Rewards and Points distributed under this Section 5.1.2 are strictly non-passthrough. They are awarded exclusively to the direct Inviter and do not generate any Multi-level Referral Rewards (L1-L9) or Indirect Points for upline Affiliates.

(a) Standard for Determining Reward Consumption: The reward issuance count is determined based on whether the applicable reward has fully vested and become available for withdrawal from the Promoter’s reward account.

The first issuance corresponds to the standard Referral Reward for the auto’s initial enrollment in a Plan. Once the initial reward has fully vested and become available for withdrawal, the auto’s “first-time” reward eligibility is permanently satisfied. The auto will not qualify for another first-time reward, regardless of whether the Plan is subsequently withdrawn, canceled, or otherwise terminated.

(b) Re-enrollment Conditions: For autos that have already consumed their first-time reward eligibility, subsequent re-enrollments may only trigger a non-passthrough Direct Referral Reward and Direct Points if the previous reward was successfully credited and the auto satisfies the applicable continuous inactivity period below.

During the applicable inactivity period, the auto must have no active or valid Plan within the GDC Program. Standard Plan renewals do not qualify as re-enrollments under this Section 5.1.2.

Each re-enrollment is also subject to all then-current eligibility requirements applicable to new Plans.

2nd Issuance: The auto must re-enroll only after at least six (6) full months have elapsed since its most recent Plan termination, during which period the auto maintained no active or valid Plan within the GDC Program.

3rd Issuance: The auto must re-enroll only after at least two (2) full years have elapsed since its most recent Plan termination, during which period the auto maintained no active or valid Plan within the GDC Program.

4th and Subsequent Issuances: The auto must re-enroll only after at least three (3) full years have elapsed since its most recent Plan termination, during which period the auto maintained no active or valid Plan within the GDC Program.

(c) Important Clarifications: The waiting periods described above — six (6) months, two (2) years, and three (3) years — refer strictly to a continuous and uninterrupted period during which the auto has no active or valid Plan within the GDC Program.

An auto does not qualify for a returning auto reward merely because time has elapsed since a prior withdrawal, cancellation, or termination. The auto must remain continuously inactive throughout the applicable waiting period immediately before the qualifying re-enrollment.

Standard Plan renewals are expressly excluded from this Section 5.1.2 and shall not be treated or interpreted as qualifying re-enrollments.

5.2 Reward Statuses and Distribution Rules

The status of a reward is determined by factors including the service fee payment, Plan verification, and ongoing Affiliate performance monitoring. The following statuses define the lifecycle and potential states of a reward:

  1. Reward Lifecycle

This sequence describes the typical progression of a reward.

  1. Pending: This is the initial status of a reward after the service fee for the corresponding Plan has been successfully paid. The reward remains Pending until the Plan becomes effective and passes initial verification.

  2. Pending Clearance: This status applies to rewards that have been calculated but are subject to a final verification based on ongoing performance monitoring conditions. Rewards in this status are not yet withdrawable and are held until a specified future date (the "Vesting Date"). On the applicable date, if the Affiliate has continuously met all required criteria, the reward's status will be updated to Withdrawable. If the criteria are not met, the reward will be permanently forfeited.

  3. Withdrawable: This status indicates that a reward is fully vested and ready for withdrawal. A reward becomes Withdrawable only after all prerequisite conditions have been met and any "Pending Clearance" period (if any) has been successfully elapsed.

  4. Conditional States and Actions

    These are special states or actions that can affect a reward or an Affiliate's account based on specific performance metrics.

    1. Reclaim: This is an action triggered if a Plan that generated a reward is withdrawn within ninety (90) days of its effective date. The value of the original reward will be deducted from the recipient's Withdrawable Balance. If the balance is insufficient, it will become negative, and future earnings will first be applied to offset this negative balance.

    2. Frozen: refers to a type of status of the reward, this status applies specifically to newly allocated Multi-level Referral Rewards that has yet to be withdrawn under the following circumstances:

      1. When both circumstances below happen simultaneously for a Promoter's Team, Frozen status will be triggered:

        1. The number of Plans withdrawn within 90 days of their effective date reaches five (5) or more, and

        2. The team's Retention Rate falls below 85%.

      2. Effect: Rewards under the Frozen status cannot be withdrawn.

      3. Resolution: The Frozen status is lifted from the affected rewards once the Promoter's team Retention Rate recovers to 85% or higher. At that point, the status of these previously Frozen rewards will be updated (e.g., to Pending or Withdrawable) based on the then state of their corresponding Plan.

    3. Suspension: This status applies to the GDC Program account of a Referrer or Affiliate and directly impacts their eligibility to earn new Rewards. A Suspension shall be triggered under the same conditions that give rise to a Frozen status.

      1. Effect: While under Suspension, the Promoter is ineligible to earn or accrue any rewards, except for Multi-level Referral Rewards. This suspension applies to all other reward types, including (but not limited to) Renewal Rewards, Bonus Pool Rewards, Regional Rewards, and Promotion Plan Rewards.

      2. Resolution: The Suspension status ends once the Promoter’s Retention Rate is restored to 85% or higher.

      3. Important Consequence: Any rewards (other than Multi-level Referral Rewards) that would have been earned during the Suspension period are permanently forfeited and will not be reinstated or retroactively granted after the Suspension ends.

Reward Withdrawal Rules

When the Reward status changes to Withdrawable, it can be withdrawn at any time.

Currently, we support Referrers and Affiliates to withdraw Rewards to their own fund receiving accounts. Note that each withdrawal will incur a handling fee charged by the payment institution, which shall be paid by the withdrawal initiator.

6.1 W-9 Form

According to IRS regulations, when an individual's or Business Entity’s annual income exceeds $600, the individual or Business Entity is required to fill out a W-9 form and submit it to the enterprise issuing the income, the enterprise will then report the income on behalf of the individual or Business Entity.

Therefore, when the annual withdrawal reward amount of a Promoter exceeds $600, Good Driver Mutuality Inc. will provide them with a W-9 form to the Promoter through the App, the form will be used to collect the SSN and other information necessary for income reporting purposes.

Withdrawals of Rewards will only be permitted after the W-9 form has been fully completed, submitted, and the review has been successfully completed.

In addition to this Affiliate & Referral Program Regular Plan, GDC Program may introduce additional temporary bonuses, incentives, or promotional programs (“Promotions”) to reward the success of all Affiliates and Referrers. Any such Promotions not expressly described herein may be subject to separate terms and conditions governing the legal relationship between Good Driver Mutuality Inc. and the Affiliate and/or Referrer. GDC Program reserves the right, at its sole discretion, to modify, suspend, terminate, or replace any such Promotions at any time with immediate effect, consistent with their temporary and discretionary nature, including where GDC Program determines that a Promotion is detrimental to the interests of Participants and/or GDC Program.
