Promotion Plan
This Short-Term Reward Plan is a temporary plan outside the Affiliate & Referral Program Regular Plan. It will become effective immediately after it is published on the website (www.gooddriver.ai) or the App. Once effective, this Short-Term Reward Plan will remain valid until June 30, 2026, after which it will automatically expire (the "Promotion Period"). Notwithstanding the above, if it is identified by the Administrator that this Short-Term Reward Plan is detrimental to the interests or benefits of Participants and/or GDC, it may terminate immediately.
All capitalized terms used in this Short-Term Reward (including in the recitals) or in any notice given under or in connection with this Short-Term Reward shall have the same meaning as those defined in Affiliate & Referral Program.
This promotion is based on sales-driven points. Rank names such as L1, L2, L3, L4, etc. are used solely as reference points to illustrate the equivalent points needed for qualification. Rewards are achieved through promoting Good Driver Club Program, Plan, and services to potential Members. No more than 40% of the total Points may be derived from a single Branch.
Section 1. Promotion Plan Transition Rules (Effective as of April 1, 2026)
This Section governs the transitioning to the "New Promotion Plan" (comprising the "L1 Fast Start Reward" and "L2 Momentum Reward" in Section 2) and the phasing out of previous rewards (comprising the "Enrollment Reward," "Activation & Training Bonus," and "L1 to L4 Team Rewards" set out in Section 4).
1.1 Effective Date: April 1, 2026 (the "April Transition Date")
1.2 Classification of Promoters & Eligibility:
The applicability of the Reward Plans is determined by the exact date and time on which a Promoter obtains their Invitation Capability (the "Start Date").
Existing Promoters (Start Date BEFORE April 1, 2026): Promoters whose Start Date is prior to the April Transition Date shall retain their eligibility to participate in the Phase-Out Rewards set out in Section 4 (including the up to 210-day team reward tasks and the $200 Activation & Training Bonus), provided that they are still within the respective Qualification Periods defined for those specific rewards. Additionally, Existing Promoters are eligible to participate in the New Promotion Plan (Section 2) provided they are still within the applicable 20-day or 40-day Qualification Periods.
New Promoters (Start Date ON or AFTER April 1, 2026): Promoters whose Start Date is on or after the April Transition Date shall be exclusively subject to the New Promotion Plan set forth in Section 2. They are NOT eligible to participate in any Phase-Out Rewards set out in Section 4.
Mutually Exclusive Rewards for Existing Promoters (No Double-Dipping): To ensure fairness and prevent duplicate payouts for the same or similar achievements, certain rewards are mutually exclusive.
Transition Exclusivity (New vs. Phase-Out Rewards): While Existing Promoters may pursue active tasks in both reward tracks, they may only receive one (1) reward per equivalent tier. The following pairs of rewards are mutually exclusive; earning one will disqualify the same Promoter from earning the other in the same pair:
Tier 1 (L1 Equivalent): Any tier of the Phase-Out "Enrollment Reward" (including Tier 1, Tier 2, or Tier 3 for 3, 5, or 8 Plans respectively, Section 4.1) AND the New "L1 Fast Start Reward" ($300, Section 2.1). Earning any portion of the Enrollment Reward will disqualify the same Promoter from earning the L1 Fast Start Reward, and vice versa.
Tier 2 (L2 Equivalent): The Phase-Out "L1 Team Reward" (Reward for developing 2 or 3 L1 Branches, Section 4.3) AND the New "L2 Momentum Reward" ($600 + Double Direct Referral, Section 2.2). Earning any portion of the L1 Team Reward will disqualify the same Promoter from earning the L2 Momentum Reward, and vice versa.
April Reactivation Incentive Exclusivity (Date-Sensitive Exclusion): The April Limited-Time Reactivation Incentive Program (Section 3) is subject to strict date-based exclusivity. Promoters who qualified for and earned the equivalent legacy Phase-Out Rewards prior to April 1, 2026, retain full eligibility to participate in the April Limited-Time Reactivation Incentive Program. However, earning conflicting rewards on or after April 1, 2026, will result in disqualification as follows:
April Direct Referral Reward Exclusivity: This reward is mutually exclusive with the New "L1 Fast Start Reward" (Section 2.1) and the legacy "Enrollment Reward" (Section 4.1) ONLY IF earned on or after April 1, 2026. Any Participant who earns either of "L1 Fast Start Reward" (Section 2.1) and the legacy "Enrollment Reward" on or after April 1, 2026, shall be strictly ineligible for the April Direct Referral Reward.
April Team Builder Reward Exclusivity: This reward is mutually exclusive with the New "L2 Momentum Reward" (Section 2.2) and the legacy "L1 - L4 Team Reward" (210-day reward, Section 4.6) ONLY IF earned on or after April 1, 2026. Any Participant who earns either of the New "L2 Momentum Reward" (Section 2.2) or the legacy "L1 - L4 Team Reward" (210-day reward, Section 4.6) on or after April 1, 2026, is strictly ineligible for the April Team Builder Reward.
Section 2. New Promotion Plan (Effective as of April 1, 2026)
2.1 L1 Fast Start Reward
Eligibility & Qualification Period: To qualify for this reward, a Promoter must successfully upgrade to Affiliate Level 1 (L1) within twenty (20) days of the exact date they first obtained their Invitation Capability (the "Qualification Period").
Reward: A one-time Reward of $300.
Review Period & Distribution:
Review Period: Immediately following the successful upgrade to L1, a seven (7) day Review Period begins. During this period, the Promoter must continuously maintain the L1 upgrade criteria, specifically maintaining at least five (5) valid directly referred Plans.
Distribution: Provided the Promoter successfully passes the Review Period, the reward will be distributed to the Promoter's Withdrawable Balance on the 7th day of the following calendar month following the successful upgrade and completion of the Review Period (the "Distribution Date").
Monitoring Period & Reward Reclaim:
Monitoring Period: Upon the Distribution Date, the Promoter enters a ninety (90) day Monitoring Period.
Reclaim Execution (Strict Reclaim): If, at any point during this 90-day Monitoring Period, the Affiliate is downgraded below L1 status (e.g., due to the number of valid directly referred Plans dropping below 5), the Reward will be permanently invalid. This action is final and is not subject to a Rectification Period. A full reclaim of the $300 Reward will be immediately executed against the Affiliate's Withdrawable Balance. If the balance is insufficient, it will be reduced to a negative value.
2.2 L2 Momentum Reward
Eligibility & Qualification Period: To qualify for this Reward, a Promoter must successfully upgrade to Affiliate Level 2 (L2) within forty (40) days of the exact date they first obtained their Invitation Capability (the "Qualification Period").
Rewards:
Reward 1: A one-time Reward of $600.
Reward 2 (Double Direct Referral): The Affiliate will receive an additional matching Reward equal to the sum of all direct referral rewards earned from new Plans directly referred by the Affiliate during the period from obtaining Invitation Capability up to the exact date of successfully upgrading to L2 (within the 40-day Qualification Period).
Review Period & Distribution:
Review Period: Immediately following the successful upgrade to L2, a seven (7) day Review Period begins. During this period, the Promoter must continuously maintain the L2 upgrade criteria, specifically maintaining at least 10,000 Points with a maximum of 40% coming from any single Branch.
Distribution: Provided the Promoter successfully passes the Review Period, both Reward 1 and Reward 2 will be distributed to the Promoter's Withdrawable Balance on the 7th day of the calendar month following the successful upgrade and completion of the Review Period (the "Distribution Date").
Monitoring Period & Reward Reclaim:
Monitoring Period: Upon the Distribution Date, the Promoter enters a ninety (90) day Monitoring Period.
Reclaim Execution for Reward 1 (Strict Reclaim): If, at any point during this 90-day Monitoring Period, the Affiliate is downgraded below L2 status (e.g., due to total Points dropping below 10,000 or violating the 40% branch rule), a full reclaim of the $600 one-time reward will be immediately executed. This action is final and is not subject to a Rectification Period.
Reclaim Execution for Reward 2: If any Plan that contributed to Reward 2 (the Double Direct Referral bonus) is withdrawn within ninety (90) days of its effective date, the matched double portion of the reward associated specifically with that plan will be immediately and permanently reclaimed, concurrent with the standard reclaim of the base direct referral commission.
Section 3. April Limited-Time Reactivation Incentive Program
This Section outlines a temporary, limited-time promotion designed to reward active direct referrals and team development, primarily intended to reactivate Existing Promoters.
3.1 Promotion Period & General Eligibility
This promotion consists of two distinct rewards with specific qualification windows commencing on April 1, 2026. Participants who qualified for and earned any applicable legacy Phase-Out Rewards prior to April 1, 2026, retain full eligibility to participate in this promotion.
3.2 April Direct Referral Reward
Qualification Period: April 1, 2026, through April 20, 2026.
Requirement: To qualify, a Promoter must successfully refer five (5) new, valid Plans directly within the Qualification Period.
Reward: A one-time Reward of $300.
3.3 April Team Builder Reward
Qualification Period: April 1, 2026, through May 10, 2026 (the "40-Day Window").
Eligibility: Restricted to Affiliates holding the rank of Affiliate Level 5 (L5) or below as of April 1, 2026.
Requirement: The Affiliate must successfully refer and/or enroll a total of twenty (20) new Plans within their Team during the Qualification Period.
Structure Requirement: No more than 40% of the required total (i.e., a maximum of 8 Plans) may be generated from any single Branch.
Reward: A one-time extra Reward of $600.
3.4 Execution, Verification, and Settlement
Unified Review and Settlement: Data for both the April Direct Referral Reward and April Team Builder Reward will be retroactively reviewed on May 20, 2026. For qualifying participants, the respective reward(s) will be credited to the Participant's Withdrawable Balance on May 20, 2026.
Pre-Distribution Forfeiture: If, prior to the reward distribution, any qualifying Plan is cancelled before becoming effective or is terminated within ninety (90) days after effectiveness, it shall be strictly excluded from the qualifying count. If such exclusion causes the Participant's total valid plans to fall below the respective required threshold (5 for April Direct Referral Reward; 20 for April Team Builder Reward), the reward will be cancelled and will not be distributed.
Post-Distribution Reclaim: If, after the reward has been distributed, any qualifying Plan is terminated within ninety (90) days after effectiveness, the Company reserves the right to adjust or reclaim the reward. Specifically, if this causes the Participant's total valid plans to fall below the required threshold, a pro-rata reclaim will be executed ($60 per plan the April Direct Referral Reward; $30 per plan for April Team Builder Reward) for each early-terminated plan that causes the participant to fail to meet the requirement. Furthermore, if a participant is found to have received the April Team Builder Reward while also earning the L2 Momentum Reward or the legacy Team Development Reward (210-day bonus), the full $600 April Team Builder Reward will be subject to a complete reclaim. In all such cases, the reclaimed amount will be deducted from the participant's Withdrawable Balance. If the balance is insufficient, it will be reduced to a negative value, and future earnings will first be applied to offset this negative balance until it is fully cleared.
Section 4. Phase-Out Rewards (Applicable only to Promoters with a Start Date prior to April 1, 2026)
These rewards do not apply to Promoters whose Start Date is on or after April 1, 2026. All rewards under this Section are subject to the mutually exclusive rules set forth in Section 1.2(c).
4.1 Enrollment Reward
Eligibility: To qualify for this reward, a Promoter must successfully refer new Plans within the Qualification Period. The Qualification Period is staggered into two distinct periods, starting from the date the promoter obtains their Invitation Capability:
A 20-day Qualification Period for Reward Tier 1 and Tier 2.
A 30-day Qualification Period for Reward Tier 3.
Reward: The reward is structured in three tiers based on the number of new, valid Plans referred during the Qualification Periods:
Tier 1: Directly refer three (3) new Plans within the 20-day Qualification Period to earn $50.
Tier 2: Directly refer a total of five (5) new Plans within the 20-day Qualification Period to earn an additional $100 (Total $150).
Tier 3: Directly refer a total of eight (8) new Plans AND achieve L1 status within the 30-day Qualification Period to earn an additional $150 (Total $300).
Review Period & Distribution:
Staggered Review Periods: Because the Qualification Periods are distinct, the 7-day Review Period triggers separately. For Tier 1 and Tier 2, the 7-day Review Period begins immediately following the 20-day Qualification Period. For Tier 3, a separate 7-day Review Period begins immediately following the 30-day Qualification Period. During the applicable Review Period, the Promoter must satisfy the following:
Quantity Requirement: The Promoter must maintain the required number of valid, directly referred Plans; AND
Quality Requirement: The Promoter must maintain a Team Retention Rate of 85% or higher.
Invalidity: The reward will be permanently invalid if any of the following circumstances occur during the Review Period:
Failure of Quantity Requirement: The number of valid referred Plans drops below the requirement set forth in Section 3.1 (b) for a specific Tier (e.g., drops below 3 for Tier 1, or below 5 for Tier 2, or below 8 for Tier 3), the reward for that specific Tier shall be immediately invalid.
Failure of Quality Requirement: If the Promoter's Team Retention Rate falls below 85%, the rewards for ALL Tiers shall be immediately invalid.
Distribution: Provided the Promoter successfully passes the Review Period and is not currently in a Rectification Period (as defined in Section 3.1 (d)(ii) below), the reward will be distributed to the Promoter's Withdrawable Balance on the 7th day of the calendar month following the conclusion of the Qualification Period (the "Distribution Date").
Reward Reclaim: Upon the conclusion of the Review Period, the Promoter enters a ninety (90) day Monitoring Period.
Definition of Qualifying Cohort: For the purposes of this Section 3.1(d), the "Qualifying Cohort" shall be defined as the specific group of Plans and Members within the Promoter's Team as they existed at the exact date the Qualification Period concluded. This fixed snapshot of the Team serves as the static baseline for all compliance monitoring and rectification requirements throughout the Monitoring Period.
Rectification Period: A thirty (30) day Rectification Period will be automatically triggered if, at any point during the Monitoring Period:
A Plan that qualified the Promoter for this reward (and is part of the Qualifying Cohort) is withdrawn; OR
The Promoter's Team Retention Rate falls below 85%.
Rectification Requirements: To successfully pass the Rectification Period and avoid a reclaim of Rewards, the Promoter must cure the triggering event in accordance with the following requirements:
For Quantity Failure (Plan Withdrawal): Rectification must be achieved solely by the reactivation of the specific Plan(s) (involving the same Member and the same Vehicle from the Qualifying Cohort) that were withdrawn. Referrals of new Plans or new Members will not count towards restoring the number of the original qualifying plans for the purpose of this rectification.
For Quality Failure (Retention Rate): The Team Retention Rate must be restored to 85% or higher. To achieve this restoration, the Promoter must reactivate the withdrawn Plans (involving the same Member and the same Vehicle) from the original Qualifying Cohort.
Reward Treatment During Rectification: The treatment of the reward depends on whether the Distribution Date occurs during the Rectification Period:
Pre-Distribution (Reward Pending): If the reward has not yet been distributed (e.g., the Promoter is actively in a Rectification Period on the Distribution Date):
Calculation of Withheld Amount: The Company shall determine the specific amount that would be subject to reclaim under the 'Reclaim Execution' section below if the invalidity circumstances were not cured (the "Affected Portion").
Withholding: The Affected Portion shall be temporarily withheld and not distributed.
Distribution of Unaffected Portion: Any portion of the reward not defined as the Affected Portion shall be distributed on the scheduled Distribution Date.
Final Decision: Upon the conclusion of the 30-day Rectification Period:
If the condition is rectified in accordance with the provisions in Section 3.1(d)(iii): The withheld Affected Portion will be released to the Promoter.
If the condition is not rectified: The withheld Affected Portion will be permanently voided.
Post-Distribution (Reward Paid): If the reward has already been distributed prior to the commencement of the Rectification Period, the Promoter shall have thirty (30) days to cure the triggering event.
Final Decision: Upon the conclusion of the 30-day Rectification Period:
If the event is rectified: No further action shall be taken.
If the event is not rectified: A reclaim shall be executed against the Promoter's Withdrawable Balance in accordance with the provisions in Section 3.1(d)(v).
Reclaim Execution: If rectification is not successful by the end of the Rectification Period, a reclaim of rewards will be triggered. The reclaimed amount is determined as follows:
Specific Plan Withdrawal: As the Plans are not assigned sequential labels, the reclaimed amount shall be determined according to the total Plan count, evaluated in descending order. A withdrawn plan is deemed to occupy the highest numerical position currently attributable to the Promoter. The reclaim rules are as follows:
6th to 8th Position: If the withdrawn plan falls within the 6th to 8th position in the plan count, $50.00 will be reclaimed for each plan.
4th and 5th Position: If the withdrawn plan falls within the 4th to 5th position in the plan count, $50.00 will be reclaimed for each plan.
1st to 3rd Position: If the withdrawn plan falls within the 1st to 3rd position in the plan count, $16.66 will be reclaimed for each plan.
Retention Rate Failure: If the reclaim is triggered by the failure to restore the Team Retention Rate to 85% or higher, the full reward amount for the affected Tier(s) will be reclaimed. The reclaimed amount will be deducted from the Promoter's Withdrawable Balance.
If the balance is insufficient, it will be reduced to a negative value. Future earnings will first be applied to offset this negative balance until it is fully cleared.
Determination of Qualification Timing
For the purpose of determining eligibility under this Section 3.1 and other related rewards under this Short-Term Reward Plan, if a Promoter reaches eight (8) valid Plans or achieves Affiliate Level 1 (L1) at different times, the Company shall determine the applicable Qualification Period based on whichever timing is more favorable to the Promoter.
In such cases, the calculation of reward eligibility shall be based on the event (either reaching eight (8) valid Plans or achieving L1 status) that provides the Promoter with the more beneficial outcome.
4.2 Activation & Training Bonus
Eligibility & Qualification Period: This bonus is available to any Promoter, regardless of when they obtained Invitation Capability, provided they meet the requirements within their specific Qualification Period.
Qualification Period: Defined as the thirty (30) day period commencing on the date the Promoter obtains Invitation Capability in 3.2(a) Eligibility.
Note: Promoters whose Qualification Period has already expired prior to the completion of the requirements are not eligible for this bonus.
Qualification Requirements: To qualify for the $200 bonus, the Promoter must satisfy all of the following criteria within their Qualification Period:
Achieve L1 Affiliate Status: Successfully upgrade to Affiliate Level 1 (L1) (which currently requires referring eight (8) valid Plans).
Directly refer eight (8) new Plans.
Complete Onboarding Training: Attend an official "Affiliate Onboarding Training" session hosted by the Company.
Attendance Verification: During the live training session (e.g., via Zoom), the Promoter must enter their correct User ID (UID) into the designated attendance log or chat window. Failure to provide a valid UID during the session will result in the forfeiture of the training credit.
Limited Availability (First 300): This bonus is strictly limited to the first 300 Promoters who successfully meet all Qualification Requirements.
The ranking is determined by the precise timestamp of when the final requirement, as set out in Section 3.2 (Activation & Training Bonus), paragraph b (i)–(iii), is completed.
Once the cap of 300 qualified Affiliates is reached, this Section 3.2 shall automatically expire, and no further bonuses will be issued under this provision.
Review & Payout: A 7-day review period will begin once all Qualification Requirements set forth in Section 3.2(b) are met. The Promoter must maintain all Qualification Requirements in Section 3.2(b) throughout the review period to receive the Reward. If the Promoter fails to meet them at any point during the review period, the Reward will be voided.
Training Schedule & Tracking: The schedule for Affiliate Onboarding Training will be published in the App. It is the sole responsibility of the Promoter to schedule and attend the training session that falls within their Qualification Period.
4.3 L1 Team Reward
Eligibility: To qualify for this reward, the Promoter must develop at least two Branches within the first 60 days of obtaining their Invitation Capability (the "Qualification Period"). Furthermore, within each of these Branches, at least one team member must reach the equivalent of L1 by directly referring eight (8) valid Plans through achieving sales-driven Points of 4,000. The aforementioned team member can be a Promoter within that Branch (including the direct or indirect downline team member).The Branch developed by the Promoter meeting the above eligibility requirements is called the “Qualifying Team”.
Reward: The reward is structured in two tiers based on the number of Branches that reach the eligibility standard described in Section 4.3(a) above during the Qualification Period:
Tier 1: the Promoter develops two Branches each having at least one team member reaching the equivalent of L1 by successfully referring eight (8) valid Plans through achieving sales-driven Points of 4,000, the Promoter can earn $600.
Tier 2: the Promoter develops three Branches each having at least one team member reaching the equivalent of L1 by directly referring eight (8) valid Plans through achieving sales-driven Points of 4,000, the Promoter can earn an additional $600 (Total $1,200).
Review Period & Distribution:
Review Period: Immediately following the Qualification Period, there is a seven (7) day Review Period. To remain eligible, the Promoter must continuously meet the following requirements throughout these 7 days:
Structure Requirement: The Promoter must ensure the number of Qualifying Teams are maintained throughout the Review Period; AND
Quality Requirement: The Promoter must maintain a Team Retention Rate of 85% or higher.
Invalidity: The reward will be permanently invalid if any of the following circumstances occur during the Review Period:
Failure of Structure Requirement: The number of Qualifying Teams drops below the requirement for a specific Tier (e.g., drops below 2 for Tier 1, or below 3 for Tier 2). In this case, the reward for that specific Tier is invalid.
Failure of Quality Requirement: The Promoter's Team Retention Rate falls below 85%. In this case, the rewards for ALL Tiers are voided.
Distribution: Provided the Promoter successfully passes the Review Period and is not currently in a Rectification Period (as defined in Section 4.3(d)(ii) below), the reward will be distributed to the Promoter's Withdrawable Balance on the 7th day of the calendar month following the conclusion of the Qualification Period (the "Distribution Date").
Reward Reclaim: Upon the conclusion of the Review Period, the Promoter enters a ninety (90) day Monitoring Period.
Definition of Qualifying Cohort: For the purposes of this Section 4.3(d), the "Qualifying Cohort" shall be defined as the specific group of Plans and Members within the Promoter's Team as they existed at the exact date the Qualification Period concluded. This fixed snapshot of the Team serves as the static baseline for all compliance monitoring and rectification requirements throughout the Monitoring Period.
Rectification Period: A thirty (30) day Rectification Period will be automatically triggered if, at any point during the Monitoring Period:
A qualifying Branch loses its Qualifying Team status; OR
The Promoter's Team Retention Rate falls below 85%.
Rectification Requirements: To successfully pass the Rectification Period and avoid a reclaim of Rewards, the Promoter must cure the triggering event in accordance with the following strict requirements:
For Structure Failure (Team loses L1 Status): The Branch must regain its Qualifying Team status.
If caused by Affiliate Downgrade: The specific Affiliate from the Qualifying Cohort must restore their rank to L1 or higher.
If caused by Insufficient Points: If the Branch's total points drop below the L1 requirement (4,000 Points), the points must be restored to 4,000 Points or higher. This restoration must be achieved solely by reactivating the specific Plans (involving the same Member and the same Vehicle from the Qualifying Cohort) that were withdrawn. Points generated from new enrollments or new Plans shall not count towards meeting this requirement.
For Quality Failure (Retention Rate): The Team Retention Rate must be restored to 85% or higher. To achieve this, the Promoter must reactivate the withdrawn Plans (involving the same Member and the same Vehicle) from the original Qualifying Cohort.
Reward Treatment During Rectification: The treatment of the reward depends on whether the Distribution Date occurs during the Rectification Period:

Final Decision: Upon the conclusion of the 30-day Rectification Period:
If the condition is rectified in accordance with the provisions in Section 4.3(d)(iii): The withheld Affected Portion will be released to the Promoter.
If the condition is not rectified: The withheld Affected Portion will be permanently voided.

Furthermore, within each of these Branches, at least one team member must reach the equivalent of L2 through achieving sales-driven Points of 10,000 and having maximum 40% of total Points come from any single one of their own Branches. The foregoing-said team member can be a Promoter within that Branch (including the direct or indirect downline team member). The Branch developed by the Promoter meeting the above eligibility requirements is called the “Qualifying Team”.
Reward: The reward is structured in two tiers based on the number of distinct Branches that reach the eligibility standard described in Section 4.4(a) above as of the conclusion of the Qualification Period:
Tier 1: the Promoter develops two (2) Branches each having at least one (1) team member reaching the equivalent of L2 through achieving sales-driven points of 10,000 and having maximum 40% of total Points come from any single one of their own Branches, the Promoter can earn $1,500.
Tier 2: the Promoter develops three (3) Branches each having at least one (1) team member reaching the equivalent of L2 through achieving sales-driven points of 10,000 and having maximum 40% of total Points come from any single one of their own Branch , the Promoter can earn an additional $1,000 (Total $2,500).
Review Period & Distribution:
Review Period: Immediately following the Qualification Period, there is a seven (7) day Review Period. To remain eligible, the Promoter must continuously meet the following requirements throughout these 7 days:
Structure Requirement: The Promoter must ensure the number of Qualifying Teams are maintained throughout the Review Period; AND
Quality Requirement: The Promoter must maintain a Team Retention Rate of 85% or higher.
Invalidity: The reward will be permanently invalid if any of the following circumstances occur during the Review Period:
Failure of Structure Requirement: The number of Qualifying Teams drops below the requirement for a specific Tier (e.g., drops below 2 for Tier 1, or below 3 for Tier 2). In this case, the reward for that specific Tier is invalid.
Failure of Quality Requirement: The Promoter's Team Retention Rate falls below 85%. In this case, the rewards for ALL Tiers are voided.
Distribution: Provided the Promoter successfully passes the Review Period and is not currently in a Rectification Period (as defined in Section 4.4(d)(ii) below), the reward will be distributed to the Promoter's Withdrawable Balance on the 7th day of the calendar month following the conclusion of the Qualification Period (the "Distribution Date").
Reward Reclaim: Upon the conclusion of the Review Period, the Promoter enters a ninety (90) day Monitoring Period.
Definition of Qualifying Cohort: For the purposes of this Section 4.4(d), the "Qualifying Cohort" shall be defined as the specific group of Plans and Members within the Promoter's Team as they existed at the exact date the Qualification Period concluded. This fixed snapshot of the Team serves as the static baseline for all compliance monitoring and rectification requirements throughout the Monitoring Period.
Rectification Period: A thirty (30) day Rectification Period will be automatically triggered if, at any point during the Monitoring Period:
A qualifying Branch loses its Qualifying Team status; OR
The Promoter's Team Retention Rate falls below 85%.
Rectification Requirements: To successfully pass the Rectification Period and avoid a reclaim of Rewards, the Promoter must cure the triggering event in accordance with the following strict requirements:
For Structure Failure (Team loses L2 Status): The Branch must regain its Qualifying Team status.
If caused by Affiliate Downgrade: The specific Affiliate from the Qualifying Cohort must restore their rank to L2 or higher.
If caused by Insufficient Points: If the Branch's total points drop below the L2 requirement (10,000 Points), the points must be restored to 10,000 Points or higher. This restoration must be achieved solely by reactivating the specific Plans (involving the same Member and the same Vehicle from the Qualifying Cohort) that were withdrawn. Points generated from new enrollments or new Plans shall not count towards meeting this requirement.
For Quality Failure (Retention Rate): The Team Retention Rate must be restored to 85% or higher. To achieve this, the Promoter must reactivate the withdrawn Plans (involving the same Member and the same Vehicle) from the original Qualifying Cohort.
Reward Treatment During Rectification: The treatment of the reward depends on whether the Distribution Date occurs during the Rectification Period:
Pre-Distribution (Reward Pending): If the reward has not yet been distributed (e.g., the Promoter is actively in a Rectification Period on the Distribution Date):
Calculation of Withheld Amount: The Company shall determine the specific amount that would be subject to reclaim under the 'Reclaim Execution' section below if the invalidity circumstances were not cured (the "Affected Portion").
Withholding: The Affected Portion shall be temporarily withheld and not distributed.
Distribution of Unaffected Portion: Any portion of the reward not defined as the Affected Portion shall be distributed on the scheduled Distribution Date.
Final Decision: Upon the conclusion of the 30-day Rectification Period:
If the condition is rectified in accordance with the provisions in Section 4.4(d)(iii): The withheld Affected Portion will be released to the Promoter.
If the condition is not rectified: The withheld Affected Portion will be permanently voided.
Post-Distribution (Reward Paid): If the reward has already been distributed prior to the commencement of the Rectification Period, the Promoter shall have thirty (30) days to cure the triggering event.
Final Decision: Upon the conclusion of the 30-day Rectification Period:
If the event is rectified: No further action shall be taken.
If the event is not rectified: A reclaim shall be executed against the Promoter's Withdrawable Balance in accordance with the provisions in Section 4.4(d)(v).
Reclaim Execution: If rectification is not successful by the end of the Rectification Period, a reclaim of rewards will be triggered. The reclaimed amount is determined as follows:
